Zarząd spółki PCF Group S.A. z siedzibą w Warszawie („Spółka”), w nawiązaniu do informacji opublikowanych w raporcie bieżącym nr 14/2025 oraz w raporcie bieżącym nr 44/2025 informuje, że warunek zawieszający wynikający z warunkowego porozumienia z dnia 19 listopada 2025 r. zawartego ze spółką Square Enix Limited z siedzibą w Londynie (Wielka Brytania), dalej zwaną „Wydawcą” („Porozumienie”) został spełniony, tj. grupa kapitałowa Spółki („Grupa”) dostarczyła w wyznaczonym terminie Wydawcy wskazane w Porozumieniu materiały powstałe w wyniku prac deweloperskich nad projektem Gemini, tzw. closing kit („Closing Kit”), zaś Wydawca w wyznaczonym terminie zweryfikował i w dniu dzisiejszym potwierdził zawartość Closing Kit.
W związku z powyższym, skutki prawne przewidziane Porozumieniem wystąpiły, tj. (i) Grupa i Wydawca zobowiązane są do dokonania ostatecznych rozliczeń finansowych projektu Gemini zgodnie z przyjętym w Porozumieniu harmonogramem; (ii) umowa produkcyjno-wydawnicza z dnia 12 sierpnia 2020 r. dotycząca projektu Gemini została rozwiązana za porozumieniem stron; (iii) umowa produkcyjno-wydawnicza z dnia 16 lutego 2016 r. dotycząca projektu Madness została rozwiązana za porozumieniem stron; (iv) Wydawca oraz Grupa wzajemnie zrzekły się potencjalnych roszczeń związanych z dotychczasową współpracą.

MESSAGE (ENGLISH VERSION)

Fulfilment of the condition precedent contained in the conditional settlement agreement with Square Enix Limited

The Management Board of PCF Group S.A. with its registered office in Warsaw (the “Company”), with reference to the information published in current report No. 14/2025 and in current report No. 44/2025, announces that the condition precedent contained in the conditional settlement agreement of 19 November 2025 concluded with Square Enix Limited with its registered office in London (United Kingdom), hereinafter referred to as the “Publisher” (“Settlement”), has been fulfilled, i.e. the Company's capital group (the “Group”) delivered to the Publisher, within the time limit specified in the Settlement, the materials specified therein which were developed under the Gemini project, referred to as the closing kit (“Closing Kit”), and the Publisher reviewed the Closing Kit within the time limit specified in the Settlement and confirmed the contents of the Closing Kit today.

In connection with the above, the legal effects provided for in the Settlement have occurred, i.e. (i) the Group and the Publisher are obliged to make final financial settlements for the Gemini project in accordance with the schedule adopted in the Settlement; (ii) the development and publishing agreement dated 12 August 2020 relating to the Gemini project was terminated by mutual agreement of the parties; (iii) the development and publishing agreement dated 16 February 2016 relating to the Madness project has been terminated by mutual agreement of the parties; (iv) the Publisher and the Group have mutually waived any potential claims related to their cooperation to date.
