| Date: November 24, 2008 Current Report No. 69/2008 Subject: Resolution on the conditional registration of UniCredit shares with NDS Pursuant to § 34 Section 1 Item 1 of the Polish Ordinance of the Minister of Finance dated October 19, 2005 regarding current and periodic information submitted by the issuers of securities (Dz.U. of 2005, No. 209, item 1744) UniCredit S.p.A. (the “Company") hereby informs that the Management Board of the Polish National Depository for Securities (Krajowy Depozyt Papierów Wartościowych S.A.) through its resolution No. 641/08 of November 21, 2008 decided to register in the Polish National Depository for Securities up to 4,085,472 registered ordinary shares /azioni ordinarie nominative/ of the Company with a nominal value of EUR 0.50 each and to designate the shares with the code IT0000064854, subject to their registration by Clearstream Banking Luxembourg SA under the code No. IT0000064854 on the NDS account and adoption by the company managing that regulated market a decision to introduce such shares to trading on the regulated market on which other shares marked with code No. IT0000064854 in that company have been introduced and following submission of documents confirming that the above condition has been met. | ||||||||||||
