| The Executive Board of bmp Holding AG (ISIN DE000A2E3772 – prior share consolidation DE0003304200) today resolved to increase the share capital of the company from its current level of € 6,900,391.00, disapplying shareholder subscription rights, by up to € 690,000.00 to up to € 7,590,391.00 by issuing up to 690,000 new bearer shares with a proportional amount of the share capital of € 1 by partially utilising existing authorised capital against cash contributions. When this notification was published, approval of the Supervisory Board was still outstanding. However, it is expected shortly. The new shares with dividend rights from the 2016 financial year were offered to a few investors in the context of a private placement with the disapplication of subscription rights. The placement price totals € 1.35 per share. The objective of the measure is the short-term strengthening of the equity basis and liquidity of the company.
