With reference to Current Report no. 17/2017 issued on 2 February 2017 concerning the approval on 1 February 2017 by the Board of Directors of UniCredit S.p.A. (the “Company”) of, inter alia, the terms and conditions and the timetable of the subscription rights offering of ordinary shares (Polish: oferta akcji z prawem poboru) of the Company, the Company hereby announces that, subject to: (i) the approval of the prospectus of the Company by Commissione Nazionale per le Società e la Borsa (CONSOB); and (ii) its effective notification in Poland confirming the approval of the prospectus of the Company, pursuant to Article 37 of the Polish Act dated 29 July 2005 on Public Offering, Conditions Governing Introduction of Financial Instruments to Organised Trading System and Public Companies (Polish: Ustawa o Ofercie Publicznej i Warunkach Wprowadzania Instrumentów Finansowych do Zorganizowanego Systemu Obrotu oraz o Spółkach Publicznych), as amended, the following timetable will be implemented: 1. the subscription rights record date (Polish: dzień ustalenia prawa poboru) in Poland will be 7 February 2017; 2. the last date of trading in the Company’s shares with subscription rights (cum rights) on Mercato Telematico Azionario managed by Borsa Italiana S.p.A. (the “MTA”), the Frankfurt Stock Exchange (General Standard Segment) (the “FSE”) and the Warsaw Stock Exchange (Main Market) (the “WSE”) will be 3 February 2017, 2017; and 3.the first date of trading in the Company’s shares without subscription rights (ex rights) on the MTA, the FSE and the WSE will be 6 February 2017.
