| Zarząd Polskiego Banku Komórek Macierzystych S.A. [Spółka, Emitent] informuje, że w dniu 6 września 2019 r. wpłynęło do Spółki od Active Ownership Fund SICAV-FIS SCS, Active Ownership Capital S.à r.l., Active Ownership Advisors GmbH, Active Ownership Investments Ltd., Tamlino Import & Advisory LP, Tamlino Investments Ltd. jak również Floriana Schuhbauer i Klausa Röhrig [łącznie jako Zawiadamiający], zawiadomienie w trybie art. 69 ust. 1 pkt 1, art.69 ust.2 pkt 1a) oraz art. 69a ust. 1 pkt 3 ustawy o ofercie publicznej, datowane na 6 września 2019 r. Zawiadomienie zostało przekazane w języku polskim oraz angielskim. Treść zawiadomienia w języku polskim: "Działając w imieniu Zawiadamiających [pełnomocnictwa w załączeniu], na podstawie art. 69 ust. 1 pkt 1, art.69 ust.2 pkt 1a) oraz art. 69a ust. 1 pkt 3 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych [dalej: "Ustawa"], niniejszym zawiadamiam, że w wyniku szeregu transakcji dokonanych przez AOF w dniach od 3 do 5 września 2019 r. na rynku regulowanym prowadzonym przez Giełdę Papierów Wartościowych w Warszawie S.A. [„Transakcje”], udział Zawiadamiających w ogólnej liczbie głosów w spółce Polski Bank Komórek Macierzystych S.A. z siedzibą w Warszawie [dalej: "Spółka"] uległ zwiększeniu o 11,87% i przekroczył próg 25% ogólnej liczby głosów w Spółce. Bezpośrednio przed przeprowadzeniem Transakcji AOF posiadał bezpośrednio [a pozostali Zawiadamiający pośrednio, przez AOF] 1.121.970 akcji Spółki uprawniających do 1.121.970 głosów na walnym zgromadzeniu Spółki, co stanowiło 19,75% ogólnej liczby akcji i głosów na walnym zgromadzeniu Spółki. Po przeprowadzeniu Transakcji, AOF posiada bezpośrednio [a pozostali Zawiadamiający pośrednio, przez AOF] 1.796.573 akcje Spółki uprawniających do 1.796.573 głosów na walnym zgromadzeniu Spółki, co stanowi 31,62% ogólnej liczby akcji i głosów na walnym zgromadzeniu Spółki. Żadne podmioty zależne od AOF nie posiadają akcji Spółki. AOF jest podmiotem zależnym od Active Ownership Capital S.a r.l., która jest współkontrolowana przez Active Ownership Advisors GmbH [spółka zależna od Floriana Schuhbauera] oraz przez Active Ownership Investments Ltd. [spółka pośrednio zależna, poprzez Tamlino Import & Advisory LP oraz Tamlino Investments Ltd., od Klausa Röhriga]. Nie występują osoby, o których mowa w art. 87 ust. 1 pkt 3 lit. c. Ustawy. Żadnemu z Zawiadamiających nie przysługują głosy z akcji Spółki, do których nabycia którykolwiek z Zawiadamiających jest uprawniony lub zobowiązany jako posiadacz instrumentów finansowych, o których mowa w art. 69b ust. 1 pkt 1 Ustawy, oraz instrumentów finansowych o których mowa w art. 69b ust. 1 pkt 2 Ustawy, które nie są wykonywane wyłącznie przez rozliczenie pieniężne. Żadnemu z Zawiadamiających nie przysługują głosy z akcji Spółki, do których w sposób pośredni lub bezpośredni odnoszą się instrumenty finansowe, o których mowa w art. 69b ust. 1 pkt 2 Ustawy." Treść zawiadomienia w języku angielskim: "Acting on behalf of the Notifying Parties [attached: relevant powers of attorney], pursuant to Art. 69.1.1, art. 69.2.1a] and 69a.1.3] of the Act of 29 July 2005 on Public Offerings, the Conditions Governing the Introduction of Financial Instruments to Organised Trading, and on Public Companies [the "Act"], I hereby notify you that as a result of a series of transactions executed by AOF on the regulated market operated by the Warsaw Stock Exchange in the period between 3 to 5 September 2019 [the „Transactions”], the share of the Notifying Parties in the total number of votes in Polski Bank Komórek Macierzystych S.A., with its registered office in Warsaw [the "Company"] increased by 11.87% and crossed the threshold of 25% of the total number of votes in the Company. Prior to the Transactions, AOF directly [and the remaining Notifying Parties indirectly, through AOF] held 1,121,970 shares in the Company representing 1,121,970 votes, which constituted 19,75% of the overall number of shares and votes at the general meeting of the Company. After the Transactions, AOF directly [and the remaining Notifying Parties indirectly, through AOF] holds 1,796,573 shares in the Company, representing 1,796,573 votes, which constitutes 31,62% of the overall number of shares and votes at the general meeting of the Company. No subsidiaries of AOF hold any shares in the Company. AOF is a subsidiary of Active Ownership Capital S.à r.l., a company jointly controlled by Active Ownership Advisors GmbH [a company controlled by Florian Schuhbauer] and Active Ownership Investments Ltd. [a company indirectly, through Tamlino Import & Advisory LP and Tamlino Investments Ltd., controlled by Klaus Röhrig]. There exist no persons referred to in Art. 87.1.3.c of the Act. None of the Notifying Parties is entitled to exercise any voting rights attached to the shares in the Company that a Notifying Party is entitled or required to acquire as a holder of the financial instruments referred to in Art. 69b.1.1 of the Act and the financial instruments referred to in Art. 69b. 1.2 of the Act, which are not exercisable solely by means of a cash settlement.
