| Zarząd BTCS S.A. („Emitent”) informuje, że w dniu 13 stycznia 2026 roku Emitent zawarł z Galaxy Trading Asia Limited („Galaxy”) ramową Cryptocurrency Purchase & Sale Agreement („Umowa”), określającą warunki potencjalnych przyszłych transakcji OTC (poza rynkiem regulowanym) dotyczących kupna i sprzedaży aktywów cyfrowych oraz rozliczeń w walutach fiat i/lub krypto. Umowa nie nakłada na Emitenta obowiązku zawierania transakcji, nie przewiduje minimalnych wolumenów ani wyłączności. Każda transakcja będzie inicjowana odrębnym zleceniem Emitenta i rozliczana zgodnie z zasadami przewidzianymi Umową. Samo zawarcie Umowy nie powoduje przepływów finansowych ani nie wywołuje skutków o charakterze zobowiązaniowym poza ewentualnymi przyszłymi zleceniami. Na dzień publikacji Emitent nie jest w stanie oszacować wpływu Umowy na wyniki finansowe; wpływ będzie zależny wyłącznie od parametrów ewentualnych transakcji zawieranych w przyszłości. Zawarcie Umowy stanowi element budowy infrastruktury operacyjnej Emitenta, której celem jest zapewnienie bezpośredniego, instytucjonalnego dostępu do płynności i rozliczeń w ramach realizowanej strategii Active Treasury. Emitent będzie komunikował odrębnymi raportami zawarcie istotnych transakcji na instrumentach finansowych lub aktywach cyfrowych, jeżeli będą one spełniały kryteria informacji poufnej bądź innych obowiązków informacyjnych. | ||||||||||||

| Execution of a Framework OTC Agreement for the Purchase and Sale of Digital Assets with Galaxy Trading Asia Limited The Agreement does not impose any obligation on the Issuer to execute transactions, does not provide for minimum volumes, and does not establish exclusivity. Each transaction will be initiated by a separate order of the Issuer and settled in accordance with the terms of the Agreement. The mere execution of the Agreement does not result in any financial flows and does not create binding effects of an obligational nature, other than in connection with potential future orders. As at the date of publication, the Issuer is unable to estimate the impact of the Agreement on its financial results; any impact will depend solely on the parameters of any transactions executed in the future. The execution of the Agreement constitutes part of the development of the Issuer’s operational infrastructure, aimed at ensuring direct, institutional access to liquidity and settlement as part of the implemented Active Treasury strategy. The Issuer will communicate, through separate reports, the execution of any material transactions in financial instruments or digital assets, should they meet the criteria of inside information or other disclosure obligations. | |||
