| On 15 December 2015 City Service SE (hereinafter, the "Company") received a notification from its shareholder UAB "ICOR" about the decision of the Bank of Lithuania, adopted on 14 December 2015, to approve the circular of a tender offer, aimed at delisting the shares of the Company from trading on AB NASDAQ OMX Vilnius. UAB "ICOR" has also provided to the Company a summary of circular (both documents are attached hereby). The tender offer price is EUR 1.175 per 1 (one) ordinary registered share of the Company EUR 0.30 par value each (ISIN code EE3100126368). Commencement of the implementation of the tender offer is on 18 December 2015, termination - on 31 December 2015. Comprehersive conditions of the tender offer are presented in the circular and in the summary of circular attached (please see the annexes). | |
