Contents of the report:
The Board of Directors of KSG Agro S.A. (the "Company") is pleased to notify that the Company signed a preliminary letter of intent (LoI) with the International Creditors (including the ECAs, banks and international suppliers) related to the restructuring of the total debt in the amount of USD 20 mln. Some of the major points contained in the mentioned LoI are: i) the remittance of goodwill payments to the International Creditors amounting to 1% of each outstanding principal amount and; ii) a step-up repayment structure of ten years starting from 2016. The principal amounts under the mentioned plan will thus increase after the first four years of debt service. As of today the Company has made the goodwill payments in full. The lawyers of the parties will start working on legal documents related to the the debt restructuring agreement soon. Legal grounds: Article 56.1 of Polish Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies, and Article 14 of the Luxembourg law of 11 January 2008 relating to the transparency requirements in relation to information about issuers whose securities are admitted to trading on a regulated market.
