| Appointment of the Management Board for the new term of office Regulatory filing The Management Board of Agora S.A. with its seat in Warsaw (the "Company") informs, that today i.e. on June 20, 2018 the Annual General Meeting of the Company ("AGM") acting pursuant to § 28 and § 29 point 2 of the Company's Statute and pursuant to the provisions of article 368 § 4 of Commercial Companies Code appointed to the Company's Management Board: Mr. Bartosz Hojka, Mr. Tomasz Jagiello, Mr. Grzegorz Kania and Mrs. Agnieszka Sadowska and Mrs. Anna Kryńska-Godlewska. The new, common five - year term of office will expire on the day the General Meeting of Shareholders approves the financial statements for the fiscal year 2022. None of the designated members of the Management Board is listed in the Registry of Insolvent Debtors, kept on the basis of the Act on the National Court Registry and does not participate as a board member of other competitive entity or the shareholder of competitive entity or of other legal/capital entity (with exception of Agnieszka Sadowska, who is a limited partner in limited partnership "NOWY KAPITAŁ ZIEMSKI" sp. z o.o. i sp. k. In addition, the Management Board informs that on June 20, 2018 pursuant to § 33 point 1 of the Company's Statute the Management Board appointed Mr. Bartosz Hojka to the position of the President of Management Board. The present composition of the Management Board is following: Bartosz Hojka – President of the Management Board President of Agora’s Management Board since March 12, 2014. Member of the Company’s Management Board since June 28, 2013. He supervises Radio and Press Segments, Corporate Sales division, as well as Human Resources and Corporate Communications departments. Under his leadership, the Agora Group strengthened its position on the cinema and outdoor market, and became the leader of the digital transformation of the press in Poland due to the "Gazeta Wyborcza’s" success in the area of paid distribution of digital content. The group also developed numerous internet projects, especially in the field of modern online advertising – video and programmatic; Agora also increased its involvement in film production and quickly became a significant distributor – particularly of Polish movies. Earlier, Bartosz Hojka held the position of the Agora Radio Group’s managing director. He was the creator of such radio brands as Radio Złote Przeboje and Rock Radio, and contributed to achieving the status of one of the most prestigious media in Poland by Radio TOK FM. Bartosz Hojka sits on the Main Council of the Konfederacja Lewiatan and is a Polish representative in the Council of the Digital News Initiative (DNI) Fund – a fund set up by Google, which supports financially the most innovative media projects in Europe. The above activity is not competitive to Agora S.A. Tomasz Jagiełło - Member of the Management Board Since June 28, 2013, a member of Agora’s Management Board. He supervises Helios, NEXT FILM and Agora’s Publishing House, as well as the development of company’s restaurant activity. Tomasz Jagiełło is the founder and president of the Management Board of Helios S.A., the largest cinema operator in Poland in terms of the number of cinemas. Co-founder of the company's success, from the beginning responsible for its development and strategy. He was one of the initiators of establishing the company NEXT FILM Sp. z o.o., so that Helios has expanded its activities into film distribution market. He initiated the entry of the Helios group on the restaurant market and the establishment of Foodio Concepts Sp. z o.o. Tomasz Jagiełło is a board member of International Union of Cinemas. The above activity is not competitive to Agora S.A.
Agnieszka Sadowska - Member of the Management Board Member of Agora’s Management Board since March 1, 2017. She supervises the Internet, Print, and Outdoor Advertising segments, Magazines division, Big Data department and TV business. Agnieszka Sadowska has been working at Agora since 1999. She began her career as a financial analyst. She also worked in the New Projects division, responsible for acquisitions and investments in the Agora Group. Since November 2013 till June 2018, Agnieszka Sadowska supervised television business in the Agora Group, including cooperation with Kino Polska TV S.A and was a member of the Management Board of Stopklatka S.A. She was the co-creator of the company's success - the channel proved profitable after less than 3 year from its launch. At the same time, within the structures of Agora S.A., she was responsible for the Company's successful conduct through the licensing process and obtaining a license to broadcast terrestrial television channel METRO within MUX-8. Since 2016, she was the President of the Management Board of Green Content Sp. z o.o. which received a license to broadcast the METRO channel. Agnieszka Sadowska also participated in the process of acquisition by Agora of strategic investor for the development of METRO, as well as in the subsequent sale of the channel to Discovery Poland. Agnieszka Sadowska does not perform activities competitive to operations of Agora S.A.
Anna Kryńska-Godlewska - Member of the Management Board Member of Agora’s Management Board since November 8, 2017, responsible for the selection of new development projects of the Agora Group. Anna Kryńska-Godlewska is a manager with more than twenty years of experience in the field of capital investment management. Previously, she has been associated with the Media Development Investment Fund, where she has been the Chief Investment Officer and Management Board Member, specialising in direct investments in media companies in Europe, Asia, Africa and South America for the past nine years. Anna Kryńska-Godlewska does not conduct any activity other than within the business of the Company. Grzegorz Kania – Member of the Management Board Member of Agora’s Management Board since November 8, 2017. He supervises Finance and Administration, as well as Technology divisions, and Internal Audit department. Grzegorz Kania specialises in financial management and has twenty years of experience in international companies. He started his career at PricewaterhouseCoopers, specialising in consulting and auditing services for companies in the new technology, media and entertainment industries. In 2003-2008, he was Deputy Chief Financial Officer of UPC Polska. In 2008-2011, he was responsible for finances of the Scandinavian BLStream Capital Group (now Intive), a provider of mobile applications and other IT solutions. Since 2012 he has been CFO at Ringier Axel Springer Poland and since 2014 he worked as CFO in Onet-RAS Poland Group. Grzegorz Kania does not conduct any activity other than within the business of the Company.
