PRESS RELEASE OFFER FOR THE REPURCHASE OF SUBORDINATED NOTES ISSUED BY UNICREDIT FINAL RESULTS Milan, 19 February 2016 – UniCredit S.p.A. (“UniCredit" or the “Offeror") hereby announces, pursuant to the terms and conditions set forth in the tender offer memorandum dated 25 January 2016 (the “Tender Offer Memorandum"), in relation to the voluntary tender offer for the repurchase of ten series of subordinated notes issued by UniCredit (the “Tender Offer" and the “Existing Notes", respectively), as supplemented by the notice published by the Offeror on 16 February 2016 concerning the Interest Accrual of the Existing Notes with ISIN code IT0005067027, that the aggregate nominal amount of the Existing Notes validly tendered to the Offer and accepted for purchase by UniCredit is Euro 1,011,320,000, representing the 55.81% of the Existing Notes. In relation to the MAC Condition to the Offer, the effectiveness of which is subject to the non-occurrence of such condition, as described in the Tender Offer Memorandum, UniCredit announces that, as of today, no adverse events have occurred, in the national and/or international context, which could constitute a “material adverse change" under the MAC Condition, and that the Offer shall take effect. The settlement of the Consideration shall take place, in accordance with the provisions set forth in the Tender Offer Memorandum, today.
