| IMMOEAST-General Meeting agrees to merge with IMMOFINANZ AG Required three quarters majority clearly surpassed with 96 percent in favour 99.2 percent voted in favour of the demerger A significant majority of shareholders at the Extraordinary General Meeting of IMMOEAST AG on 21 January 2010 voted in favour of the joint proposal by the Executive Board and Supervisory Board to merge with IMMOFINANZ AG. 96 percent voted in favour, thereby clearly exceeding the three quarters majority necessary to pass the resolution. A majority of 99.2 percent of the shareholders voted for the demerger of IMMOEAST AG into IMBEA IMMOEAST Beteiligungsverwaltungs AG. In the course of the merger, IMMOEAST shareholders shall receive three IMMOFINANZ shares for every two IMMOEAST shares. This exchange will take place once the merger has been entered in the company register. IMMOFINANZ shareholders yesterday approved the merger at an Extraordinary General meeting with 99.9 percent voting in favour. With a clear majority of shareholders at both companies voting in favour at the Extraordinary general Meetings, the merger can now proceed quickly. This result is a major achievement in restructuring IMMOFINANZ Group.
