| Sadovaya Group S.A., a joint stock company under Luxembourg law, with registered office at 412F, route d’Esch, L-2086 Luxembourg, registered in the Luxembourg Register of Companies under No. B 153.489, (the “Company"), hereby informs that according to resolution of the Board of Directors dated 13 February 2012 with respect to the Loan Agreement between PC Interdon LLC (the “Borrower") and European Bank for Reconstruction and Development the Company has duly executed: - Share Pledge Agreement; - Subordination and Share Retention Deed; - Deed of Guarantee and Indemnity. The Borrower has submitted the disbursement request to European Bank for Reconstruction and Development and is expecting the delivery of the funds following the satisfaction of the remaining conditions precedent.
