No.: FN 199734b), VCP Capital Partners Unternehmensberatungs AG (A-1010 Vienna, Tegetthoffstr. 7, Austria; Company Reg. No.: FN 201002t) and Collegia Privatstiftung (A-2402 Maria Ellend, Hofstraβe 17., Austria)submitted today the following notification to the Company: “VCP Industrie Beteiligungen AG (A-1010 Vienna, Tegetthoffstr. 7, Austria; Company Reg. No.: FN 199734b) (VCPI), VCP Capital Partners Unternehmensberatungs AG (A-1010 Vienna, Tegetthoffstr. 7, Austria; Company Reg. No.: FN 201002t) (VCP) and Collegia Privatstiftung (A-2402 Maria Ellend, Hofstraβe 17., Austria) notifiy the Honourable Board in accordance with Act CXX of 2001 on the Capital Market that on 6 July 2006 the VCPI and Kikkolux S.àr.l. (282 route de Longwy, L-1940 Luxembourg; Company Reg. No.: B 109 992) (Option Holder) concluded an option agreement (Agreement). Under the Agreement the VCPI granted a call option (Option) to the Option Holder with respect to the 17.757.015 pieces of registered ordinary shares (Option Shares) it currently holds in BorsodChem Rt. (Company). The Option may be exercised by the Option Holder (or any third party designated by the Option Holder) at its discretion in the period between the date of the Agreement and 31 October 2006 at a per share option price of HUF 3,000.00. Currently the direct influence of the VCPI in the Company is 21.83%. Upon the exercise of the Option in accordance with the Agreement and the transfer of the Option Shares to the Option Holder the direct influence of the VCPI in the Company would completely cease. VCP is the direct owner of 100% of the shares of the VCPI. Upon the exercise of the Option in accordance with the Agreement and the transfer of the Option Shares to the Option Holder the 21.83% indirect influence of VCP in the Company would also completely cease. Collegia Privatstiftung is the majority owner of VCP. Accordingly, as a result of and with the effect of the termination of the indirect influence of VCP in the Company the indirect influence of Collegia Privatstiftung in the Company would also completely cease."
