| Sadovaya Group S.A., a joint stock company under Luxembourg law, with registered office at 65, boulevard Grande-Duchesse Charlotte L–1331 Luxembourg, registered in the Luxembourg Register of Companies under No. B 153.489, (the “Company"), hereby informs that: according to Resolution of the Board of Directors dated 09th of April 2014 with respect to the Loan Agreement between PC Interdon LLC (the “Borrower") and European Bank for Reconstruction and Development (EBRD) dated 30 December 2011, on 10th of April 2014 the Company duly concluded the following documents with EBRD: – Restructuring agreement – Put and Call Option Agreement – Shareholders agreement The Company and the Borrower in association with EBRD took a decision to draw up the Restructuring plan of MEC “Vakhrushevskiy" belonging to PC Interdon LLC, the subsidiary of Sadovaya Group, to improve production indicators and advance the complex efficiency. The period of Restructuring is 2 years. Legal grounds: Article 56.1 of Polish Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies, and Article 14 of the Luxembourg law of 11 January 2008 relating to the transparency requirements in relation to information about issuers whose securities are admitted to trading on a regulated market.
