Na podstawie § 5 pkt 1 Rozporządzenia Ministra Finansów z dnia 29 marca 2018 roku w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim (Dz.U. z 2018 r. poz. 757), Zarząd PKO Banku Hipotecznego S.A. z siedzibą w Gdyni („Bank”) niniejszym informuje, iż w dniu 30 sierpnia 2018 r. powziął informację o rejestracji w dniu 30 sierpnia 2018 r. – przez Sąd Rejonowy Gdańsk-Północ w Gdańsku, VIII Wydział Gospodarczy Krajowego Rejestru Sądowego – zmiany statutu Banku. Dokonano zmian w § 14 i § 23 Statutu. Zmiany te mają charakter porządkujący, usuwając zaistniałe w procesie stosowania Statutu Banku wątpliwości interpretacyjne odnoszące się do okresu kadencji Zarządu i Rady Nadzorczej oraz poszczególnych ich członków. Zarejestrowane zmiany Statutu zostały opisane w załączniku 1 do niniejszego raportu. Aktualny tekst jednolity Statutu PKO Banku Hipotecznego S.A. stanowi załącznik 2 do raportu.

Report No. 76/2018 Date: 30-08-2018 Subject: Registration of the Amendments to the Articles of Association of PKO Bank Hipoteczny S.A. Legal basis: Art. 56 par. 1 pt. 2 of the Act on Public Offering – current and periodic information Content: Pursuant to Paragraph 5 item 1 of the Ordinance of the Minister of Finance of 29 March 2018 on current and periodic information published by issuers of securities and on conditions under which such information may be recognised as being equivalent to information required by the regulations of law of a state which is not a member state (Journal of Laws of 2018, item 75), the Management Board of PKO Bank Hipoteczny S.A., with its registered office in Gdynia, (the “Bank”) hereby informs that on 30 August 2018 it received information that the District Court Gdańsk-Północ in Gdańsk, VII Commercial Division of the National Court Register on 30 August 2018 entered in the Bank’s file in the register of entrepreneurs the amendments to the Bank’s Articles of Association. Changes have been made to §14 and §23 of the Bank’s Articles of Association. The changes adopted are of formal nature, aiming at resolving the interpretation doubts while applying Bank’s Articles of Association related to the term of the office of the Management Board and the Supervisory Board as well as their individual members. Registered amendments to the Articles of Association are described in the attachment No.1 to this report. The current consolidated text of the Articles of Association of PKO Bank Hipoteczny SA is an attachment No. 2 to the report.
