Vorstand und Aufsichtsrat schlagen vor, folgenden Beschluss zu fassen:
„a)
Die außerordentliche Hauptversammlung vom 18. Mai 2010, die als Vollversammlung abgehalten wurde, hat einen mit dem Beschlusstext unter b) inhaltsgleichen Beschluss gefasst. Rein vorsorglich, zur Verminderung rechtlicher Risiken und unbeschadet des genannten Hauptversammlungsbeschlusses vom 18. Mai 2010, stimmt die Hauptversammlung der Übertragung der von der Deutsche Life Sciences GmbH gehaltenen Revotar-Aktien erneut wie folgt zu:

Der Übertragung der Revotar-Aktien der Deutsche Life Sciences GmbH nach Maßgabe des Angebots des Insolvenzverwalters über das Vermögen der Deutsche Life Sciences GmbH zum Kauf und zur Übertragung von 416.459 Serie A Vorzugsaktien und 344.341 Stammaktien an der Gesellschaft vom 11. Mai 2010 (nachfolgend „Kaufangebot“ ) auf die das Kaufangebot annehmenden Zeichner von Serie B Vorzugsaktien, die (i) Vorzugsaktien der Serie B aus der Kapitalerhöhung vom 7. Dezember 2009 bis zum 30. Mai 2010 gezeichnet, (ii) den Ausgabepreis auf die von ihnen gezeichneten Vorzugsaktien der Serie B vollständig und vorbehaltlos an die Gesellschaft bis zum 11. Juni 2010 gezahlt haben und (iii) im Zeitpunkt der Annahme des Kaufangebots Partei der Aktionärsvereinbarung Serie (B) Finanzierungsrunde 2010 (nachfolgend „Neue Aktionärsvereinbarung“ ) und des Beteiligungsvertrages Serie B Finanzierungsrunde 2010 (nachfolgend „Beteiligungsvertrag III“ ), beide vom 12. Mai 2010, sind, wird im Wege der Einwilligung zugestimmt. Der Übertragung des Anteils der Revotar-Aktien der Deutsche Life Sciences GmbH, die nach Maßgabe des Kaufangebotes BFB Wachstumsfonds Brandenburg GmbH zu erwerben berechtigt wäre, auf ein von BFB Wachstumsfonds Brandenburg GmbH verbundenes Unternehmen i.S.d § 15 AktG, einen vom gleichen Fondsmanager wie BFB Wachstumsfonds Brandenburg GmbH gemanagten Fonds oder einen anderen Aktionär der Gesellschaft, wird bei einer entsprechenden Benennung durch BFB Wachstumsfonds Brandenburg GmbH unter der Voraussetzung eines Beitritts des Benannten zur Neuen Aktionärsvereinbarung, sofern dieser noch kein Aktionär der Gesellschaft ist, im Wege der Einwilligung zugestimmt.“

BERLIN/Hennigsdorf (Germany), June 10, 2010
Revotar Biopharmaceuticals AG today announced the start of a Phase II study
to evaluate the safety and efficacy of inhaled Bimosiamose, a pan-selectin
antagonist, for the treatment of patients with chronic obstructive
pulmonary disease (COPD).
The trial is designed as a double-blind, placebo controlled, randomized,
cross-over study comprising up to 60 non-smoking patients with moderate to
severe COPD (GOLD II-III). Each subject will receive nebulized Bimosiamose
solution or vehicle for 28 consecutive days twice daily in two subsequent
periods according to a randomization plan and separated by a wash-out phase
(cross-over). Co-alternative primary endpoints will be the difference of
neutrophils counts and interleukin-8 levels in induced sputum following
Bimosiamose and Placebo; secondary variables cover lung function parameters
as well as cellular and non-cellular biomarkers. The study is conducted at
10 centers in Germany.
"Inhaled Bimosiamose solution previously demonstrated to be safe and
anti-inflammatory in short-term trials with healthy subjects (ozone
challenge) and in patients with Asthma and COPD," said Prof Wolfgang
Meyer-Sabellek, Chief Medical Officer of Revotar. "We are now looking
forward to confirm and extend this encouraging potential on the basis of
longer treatment and more COPD outpatients."

drugs in COPD considering the reported limited efficacy of inhaled
corticosteroids (ICS) or even documented ICS resistance in COPD”, added Dr
Martin Pöhlchen, CEO of Revotar.
In contrast to oral PDE4 inhibitors, Bimosiamose is given locally by
inhalation, directly targeting the inflammation in the lung. In recent
assessments from regulatory authorities (e.g. IQWiG) inhalative treatment
is preferred towards oral treatment in COPD, since better efficacy and
faster onset may be achieved with less systemic side effects. Results are
expected for the second quarter of 2011."

Heliocentris develops energy manager for electric vehicles
Berlin-based provider of energy storage solutions receives grant from Federal Ministry of Economics
Berlin – 22 June 2010. Heliocentris Fuel Cells AG, a leading specialist in clean energy storage solutions, is developing an innovative energy management system for electric vehicles which will enable energy storage solutions with a significantly increased range.
The goal of the project is to develop an energy management system, with which it will be possible to hybridise modern lithium-ion batteries with fuel cells, thus creating energy storage solutions offering a significantly higher range for electric vehicles. Energy management systems control and optimise energy flows within the storage solution and therefore constitute a central component of future electric mobility solutions.
Electric vehicles are currently becoming extremely significant, not only in Germany, but also around the world. The German government has set itself the target of having at least one million electric vehicles and 500,000 fuel cell vehicles on Germany’s roads by 2020. However, due to the limited energy density of batteries, even with lithium-ion technology, electric vehicles run on batteries alone do not have the range offered by today´s normal motor vehicles. Fuel cell-battery hybrid vehicles are therefore regarded as a better solution by numerous experts.
Dr. Henrik Colell, CEO, commented: “The energy management system is a central component of our technology strategy for the development of innovative energy storage solutions with a higher storage capacity and range. Berlin-based Embeddeers GmbH is Heliocentris’ project partner. Embeddeers is a service provider in the field of automotive development whose clients include well-known automotive suppliers. The company’s specific expertise lies in the planning and implementation of control software for comfort electronics and drive trains in passenger and commercial vehicles. In this project, Embeddeers is responsible for the generic and project specific control of the energy management. Forchert-Consulting (Berlin) is responsible for the project co-ordination. Heliocentris will develop the entire energy manager including the necessary power electronics. Production and global marketing and sales are to be carried out by Heliocentris.
In future, the energy management system is to be used and marketed as a central component of Heliocentris’ energy storage solutions. Perspectively, it will also be possible for other electric mobility providers to use the energy management system in their vehicles.
Development is to be completed by the end of 2011. It is being financially supported by the Federal Ministry for Economics with Heliocentris receiving €175,000.

Berlin-based provider of energy storage solutions receives grant from Federal Ministry of Economics
Berlin – 22 June 2010. Heliocentris Fuel Cells AG, a leading specialist in clean energy storage solutions, is developing an innovative energy management system for electric vehicles which will enable energy storage solutions with a significantly increased range.
The goal of the project is to develop an energy management system, with which it will be possible to hybridise modern lithium-ion batteries with fuel cells, thus creating energy storage solutions offering a significantly higher range for electric vehicles. Energy management systems control and optimise energy flows within the storage solution and therefore constitute a central component of future electric mobility solutions.
Electric vehicles are currently becoming extremely significant, not only in Germany, but also around the world. The German government has set itself the target of having at least one million electric vehicles and 500,000 fuel cell vehicles on Germany’s roads by 2020. However, due to the limited energy density of batteries, even with lithium-ion technology, electric vehicles run on batteries alone do not have the range offered by today´s normal motor vehicles. Fuel cell-battery hybrid vehicles are therefore regarded as a better solution by numerous experts.

As such, we are coming closer to our goal of positioning ourselves as a provider of fully-electric hybrid solutions in the attractive market for special vehicles.”
Berlin-based Embeddeers GmbH is Heliocentris’ project partner. Embeddeers is a service provider in the field of automotive development whose clients include well-known automotive suppliers. The company’s specific expertise lies in the planning and implementation of control software for comfort electronics and drive trains in passenger and commercial vehicles. In this project, Embeddeers is responsible for the generic and project specific control of the energy management. Forchert-Consulting (Berlin) is responsible for the project co-ordination. Heliocentris will develop the entire energy manager including the necessary power electronics. Production and global marketing and sales are to be carried out by Heliocentris.
In future, the energy management system is to be used and marketed as a central component of Heliocentris’ energy storage solutions. Perspectively, it will also be possible for other electric mobility providers to use the energy management system in their vehicles.
Development is to be completed by the end of 2011. It is being financially supported by the Federal Ministry for Economics with Heliocentris receiving €175,000.
